Mythic Markets, Inc.
General investing
What am I investing in? Are these real securities?
These are absolutely real securities, and represent a fractional interest in the asset you choose to invest in. You can find information on some of the regulations that we rely upon here.
Mythic Markets acquires, stores, maintains, and insures assets on behalf of shareholders.
Is this regulated by the SEC? What does it mean to be regulated or qualified by the SEC?
Yes, Mythic Markets, like all issuers of securities, is subject to SEC rules. The SEC qualification process to make our public offerings required nearly a year of expensive legal work in an effort to ensure compliance.
By receiving qualification of our Form 1-A under Tier II of Regulation A+, we are permitted to make the initial public offerings to accredited and qualified non-accredited investors. That means that almost any US citizen or US resident can participate. In the investor onboarding process, we apply specific investment limits and suitability guard rails to discourage irresponsible investing.
To maintain compliance with Tier II of Regulation A+ we are required to provide:
Annual audits - Provide an objective independent examination of the financial statements produced by management.
Comprehensive, transparent disclosure of risks related to the offerings. This can sometimes spark additional questions or concerns which we hope to address through the information contained in the Form 1-A filing.
Ongoing reporting requirements in accordance with applicable securities law.

How do I earn returns from my investment? Can I sell my shares?
Yes - our goal is to bring more liquidity to alternative asset investing. We offer a secondary trading market* where you can buy shares of past offerings you missed out on, or sell your shares for cash. Learn more about how trading works here.
Assets may also be liquidated in response to private offers or during peak market conditions. Proceeds from each asset would be distributed to shareholders proportional to their ownership in that asset. Check out your offering circulars for more information.
Do I have to be an accredited investor?
Nope. If you’re unaccredited, you can legally invest as long as you invest no more than 10% of your income or net worth in each offering.
Do I have to be a U.S. Citizen to invest?
Currently, U.S. Citizens, U.S. Residents, and non-resident U.S. Citizens can invest on Mythic Markets. We do intend to expand internationally, so let us know where you’re located! You can also stay updated on future plans by subscribing to our newsletter.
Does Mythic Markets demand a trading fee?
No, investors don’t pay any trading fees/commissions at this time. In the future we may include a fee for every buy/sell order on the platform.
How many shares can I buy/own?
You can buy up to 10% of an asset (usually 200 shares) during the initial offering period. You can buy additional shares on subsequent trading days, and may own up to 19.99% of the asset’s total available shares.
Is this a blockchain or crypto thing?
No. Mythic Markets is an issuer of real United States securities. The platform is not built on blockchain and we do not issue crypto or tokens for our assets.
Trading
How does trading work on Mythic Markets?
Read this first! You’ll get an overview of the entire process.
How are bids and asks matched?
Bid and ask orders are limit orders, meaning you’ll need to input a price you’re willing to buy/sell for, along with quantity. Open orders are automatically matched and executed based on a matching algorithm for limit orders, which considers the limit price and the time the order was placed.
Your order will only match if another investor places an order for the same asset, at the same price you placed or a better price. A buy limit order will only execute at the limit price or lower, and a sell limit order will only execute at the limit price or higher.
When there is a match between two orders, the price of the trade will be based on the limit price of the order that was entered first. For example, for XYZ Asset:
Investor A places a buy order for 5 shares, at $12 at 10:00 AM
Investor B places a sell order for 5 shares, at $11 at 10:05 AM
A trade would be matched and executed between Investor A and Investor B for 5 shares at a price of $12, as Investor A’s order was the first submitted. Conversely, if Investor B had placed the sell order first, the trade price would be $11.
Time is also considered when there are multiple orders for the same price. For example, for XYZ Asset:
Investor A places a buy order for 10 shares, at $10 at 10:00 AM
Investor B places a buy order for 10 shares, at $10 at 10:05 AM
Investor C places a sell order for 10 shares, at $10 at 10:10 AM
A trade would be matched and executed between Investor A and Investor C. Investor B's order would still be open.
A single order may be matched in multiple trades. In the example above, if Investor C placed a sell order for 20 shares at $10, there would be two trades:
Trade #1: Investor A, Investor C for 10 shares at $10
Trade #2: Investor B, Investor C for 10 shares at $10
When will more trading days become available?
Buy and sell orders are being batched to concentrate trading activity during specific periods. As liquidity and trading volume increase, we intend to open more frequent live trading days depending on investor feedback.
Can I withdraw funds from Mythic Markets?
Yes. You can withdraw deposited funds anytime after an initial grace period of 7 business days. If you try to withdraw too early, you may receive a notification that your request was rejected - but don’t despair! Just wait a couple days and try again.
Funds you receive from selling shares can be withdrawn once they’re settled, 2 business days after the transaction.
The funds should arrive in your bank account in 3-5 business days. Our banking partner will automatically deduct a $0.25 transfer fee from the withdrawal amount.
Can I cancel orders?
You can cancel an open order anytime before the trading day closes, by going to your account’s History. Unmatched orders will also be automatically cancelled at the end of the trading day. You can’t cancel an order after it has matched.
Why was my order cancelled?
Not sure why you received an “order cancelled” email? Aside from canceling an order yourself, there are a few reasons orders might get cancelled:
Your order expired (the most common reason). Any pending orders that aren’t filled by the end of the trading day (4pm EST) are automatically cancelled.
An administrator cancelled the order.
Trading for the security was halted.
The security was deactivated/delisted.
Your account was locked.
Still not sure? Feel free to email us.
Can I buy and sell the same shares on the same day?
No. There is a 2 day settlement process on shares purchased. Those shares will be eligible to be sold the next trading day.
Okay, my order was matched. Now what?
After an order is matched, the trade will be automatically settled 2 business days after the transaction time. This means that trades will settle on the morning of the second business day following a trade.
Once trade settlement is complete, investors will see the balance for the cash or asset in their account, and the balance will be available to trade with.
Initial offerings
How is an asset’s initial offering value determined?
Offering value is based on publicly available sales data from sources like PWCC, eBay, and Heritage Auctions.
How is the initial share price determined?
A fixed number of shares are issued for each asset. During the initial offering period, share price is determined by the asset’s value divided by the total number of shares.
Okay, I invested in an initial offering. Now what?
When the offering closes, a lockup period (usually 90 days) will begin. During this time, no transactions can take place. After the lockup period, the funded offering will be available for secondary trading.
NOTE: If you haven’t already done so, you’ll need to complete your trading profile in order to participate in the secondary market.
Asset acquisition, maintenance and liquidation
Who owns the collectible assets?
For each asset, Mythic Collection, LLC (a subsidiary of Mythic Markets, Inc.) issues a Series which owns and manages that single asset. Each Series is like a sub-company of the LLC. When you buy shares, you’re basically becoming a shareholder in one of these sub-companies.
How is the collection stored and maintained?
In an effort to protect an asset from damage, Mythic Markets stores and maintains them on behalf of shareholders. The collectibles are fully insured and securely stored in temperature, light, and humidity-controlled vaults with 24-hour security. Paper-based assets are also “slabbed” in tamper-proof cases. We plan on making them viewable by the public in special exhibits or events.
Can I see the assets in person?
Yes! We’ve previously exhibited assets at MagicFest events. Make sure you’re subscribed to our newsletter for updates on future plans and events.
How are the collectible assets selected?
As a team of investors, collectors, and fans ourselves, we consider factors like rarity, cultural significance, history, value, condition, size of the fandom, and future relevance for items to add to the collection.
How is the authenticity of assets verified?
Assets are authenticated by leading independent grading experts such as Professional Sports Authenticator (PSA), Certified Guaranty Company (CGC), and Beckett Grading Services (BGS).
Who are you buying the collectibles from/selling them to?
To date, we’ve sourced and acquired assets from reputable, high-end collectors, brokers, and retailers in fair market transactions based on market comparables. Anybody can make an offer to acquire the whole asset, and if accepted the net proceeds would be distributed to shareholders.
Do investors subsidize the purchase of these collectibles?
No, Mythic Markets does not close on investor proceeds before an asset is acquired. Before the assets are posted on the platform, Mythic Markets either purchases them outright or negotiates an agreement with the seller that usually includes a cash deposit and maturity date for paying the remainder of the agreed-upon purchase price.
Can Mythic Markets just sell the real collectibles without consulting shareholders? What happens to the shareholders?
As the manager, we are responsible for making liquidation decisions. What we’d like to prevent is a situation where a few individuals buy a majority of shares and vote to sell the asset to themselves at below market value. However, if a compelling offer to purchase the asset outright is received, we intend to poll shareholders for their sentiment on whether to liquidate. We generally have no incentive to liquidate the asset for a loss.
I heard that Mythic Markets charges a 50% carry when an asset is sold. Is this true?
No, this is not true and has never been the case. The manager is entitled to 50% of “Free Cash Flow”. Proceeds from a sale are specifically excluded from this definition. Free Cash Flow is our potential “management fee” from any income generated by the asset while we hold it (ie. opening a gallery and charging admission as described on page 47 of our Form 1-A).
It bears repeating that we do not keep 50% of the final distribution. If we did, this would be similar to a 50% “carry”. When we sell an asset, we distribute proceeds minus any previously accrued and unpaid management fees (described above) or other costs of maintaining the asset to series holders.
Mythic Markets, Inc.
Where is Mythic Markets making money off of this?
We are a venture-backed startup and have raised over $2M in funding to date. When we first started this company, we knew it would take a lot of upfront investment to even get off the ground, due to legal and acquisition costs. We’re grateful to receive funding from some of the top VC firms in Silicon Valley, New York, and Los Angeles.
We do include a sourcing fee in the offering price to help cover some of our costs of getting the offering to market, while making every effort to maintain competitive and attractive pricing. But right now, we’re most concerned with building a quality product.
What does it mean that Mythic Markets also owns shares in the assets?
Just like any other investor on the platform, Mythic Markets Inc. buys shares in each offering (paid for in cash) at the publicly posted price. We do this to align our interests with other shareholders; we profit if the shares increase in value.
Can I sell my collection on Mythic Markets?
